1. Introduction

These Terms of Service (“Terms”) govern your access to and use of NexaOrders, a software platform owned and operated by PentoraX (Pvt) Ltd. (“we,” “us,” or “our”). By accessing or using NexaOrders (“Service”), you agree to these Terms. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 18 years old and have the authority to bind your business or organization to these Terms. If you use the Service on behalf of a company, you represent that you are authorized to do so.

3. Account Registration

To access NexaOrders, you must create an account using a valid username and password. You agree to:

• Provide accurate and current information.
• Maintain the confidentiality of your credentials.
• Notify us immediately if you suspect unauthorized access.

We are not liable for any loss resulting from unauthorized use of your account.

4. Use of the Service

You agree to use NexaOrders only for lawful business purposes and in accordance with these Terms. You must not:

• Use the Service for any illegal or fraudulent activity.
• Attempt to gain unauthorized access to systems or data.
• Interfere with or disrupt the Service’s functionality or performance.
• Reverse engineer, copy, or redistribute the platform without permission.

We reserve the right to suspend or terminate accounts that violate these Terms or misuse the Service.

5. Subscription, Fees, and Payments

• Access to certain NexaOrders features may require a paid subscription or usage-based fees.
• All payments are due in accordance with the pricing and billing terms provided to you.
• Failure to pay on time may result in account suspension or termination.
• Unless otherwise specified, fees are non-refundable.

6. Intellectual Property

All content, software, and materials available through NexaOrders, including but not limited to text, code, graphics, and trademarks, are the property of PentoraX (Pvt) Ltd. or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Service solely for your business operations. No other rights are granted.

7. Data and Privacy

8. Third-Party Services

NexaOrders may integrate or rely on third-party platforms (e.g., AWS or other infrastructure providers). We are not responsible for the content, privacy practices, or performance of those third parties.

9. Service Availability and Maintenance

We aim to provide uninterrupted access to NexaOrders; however, we do not guarantee that the Service will always be available or error-free. We may perform maintenance, updates, or system improvements without prior notice.

10. Limitation of Liability

To the maximum extent permitted by law: NexaOrders and PentoraX (Pvt) Ltd. are not liable for any indirect, incidental, or consequential damages, including loss of data, profits, or business opportunities. Our total liability for any claim arising from your use of the Service shall not exceed the total fees paid by you in the preceding three (3) months.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your account if you:

• Breach these Terms,
• Fail to pay applicable fees, or
• Engage in misuse or fraudulent activity.

Upon termination, your access to NexaOrders will end, and we may delete your stored data as outlined in our Privacy Policy.

12. Modifications to the Terms

We may update or modify these Terms periodically. When changes are made, the updated Terms will be posted on our website with a revised “Last Updated” date. Your continued use of the Service constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising from or relating to the Service shall be resolved exclusively in the courts of Colombo, Sri Lanka.
